Referral Program Terms

1. Eligibility

• Only active ThirdPay account holders in good standing are eligible to participate.
• Business Account users may participate in the Referral Program provided they maintain an active Business Account.
• We may limit participation based on geography, regulatory restrictions, or account status.
• ThirdPay may approve or reject any participant at its sole discretion.

2. How Referrals Work

• You may refer new users by either:
  • Sharing your unique referral link or code; or
  • Inviting new users directly through the ThirdPay platform, where available.
• If a Referred User successfully creates a ThirdPay account using your referral link or code and meets any applicable eligibility requirements, you may be eligible for a referral reward.
• Additional conditions, such as minimum transaction volume, may apply and will be disclosed separately.

3. Referral Rewards

• Referral rewards, if any, will be described on the Referral Program webpage or provided by direct communication.
• Rewards may include a share of fees generated by the Referred User’s wallet, a flat payment, or another incentive.
• Rewards may be subject to tax reporting. You are solely responsible for any taxes associated with referral rewards.
• Holding a Business Wallet Account does not automatically entitle a participant to revenue share unless all eligibility requirements are satisfied.
• ThirdPay reserves the right to modify the structure, amount, or timing of rewards at any time.

4. Reward Payment and Timing

• Referral rewards are calculated and reconciled on a monthly basis following the end of each calendar month.
• Payouts, if eligible, will be made to your designated ThirdPay Account in USDC on the Solana blockchain within 60 days after the end of the month in which the referred activity occurred, subject to actual receipt by ThirdPay of underlying revenues.
• You must maintain an active account in good standing to receive rewards.
• If accrued rewards in a given month are below the minimum payout threshold disclosed by ThirdPay, they will roll over and accrue to future months until the threshold is met.

5. Restrictions

You may not:

• Engage in misleading, deceptive, or unethical marketing practices
• Misrepresent your relationship with ThirdPay
• Pay for leads, run paid advertising, or spam others with your referral link
• Refer yourself, fake users, or engage in fraudulent activity to obtain rewards
• Offer unauthorized incentives, discounts, or other benefits to induce referrals

Violations may result in forfeiture of rewards and termination of your participation.

6. Relationship of the Parties

Participation in the Referral Program does not create any agency, partnership, employment, or joint venture relationship between you and ThirdPay. You have no authority to bind ThirdPay.

7. Termination and Changes

ThirdPay may:

• Suspend or terminate the Referral Program at any time
• Modify these Terms or program rules at any time
• Deny payment or claw back rewards in cases of fraud, abuse, or violation of these Terms

Changes will be posted to www.thirdpay.io/legal or communicated directly to participants.

8. Limitation of Liability

ThirdPay is not responsible for:

• Losses or damages arising from your participation in the Referral Program
• Technical malfunctions, errors, or delays affecting tracking or reward issuance

Rewards are issued “as is” with no warranties or guarantees.

9. Governing Law

These Terms are governed by the laws of the State of Delaware without regard to conflict of law rules.
